Detailed explanation of company registration in Ontario (Part 2): Limited liability company Limited liability company

When a company is registered in Canada, can be divided into Sole Proprietorship, Partnership or Corporation .

In the previous article, we talked about the registration steps for sole proprietorships and partnerships. Today we will talk about how to register a limited liability company in Ontario.

First of all, a company registered in Ontario is a provincial company Ontario corporation. The company created is only a legal entity in Ontario, and your company name is only protected in Ontario; this is different from federal companies, which are registered in Canada. A legal entity is created with the right to do business anywhere in Canada, and the name is protected nationwide.

The following are the steps to register a corporation in Ontario:

1. Choose a name for the company.
As with a sole proprietorship or partnership, there are some restrictions on the names you may use. For example, you may not use words that imply that the business is associated with the Crown, the federal or provincial governments of Canada, municipalities or municipal agencies without the written consent of the relevant authority.
2. Perform a name search.
Unless your company name is selected as a numbered corporation, your name must be subject to a name search to confirm that no one else has a trade or registered trademark that is the same or similar to your company name.
When you submit the company application form, you also need to submit a NUANS report on the company name.
3. Complete the company’s registration documents (Articles of Incorporation)

If you prefer to submit paper forms, you can purchase business corporation forms from an attorney, legal item store, or name search company
4. Create a cover letter
In the cover letter, you need to provide the name, return address and phone number of the contact person who wants to register the company. If you registered electronically, you can complete your cover letter online.
5. Submit the application.
Your application must include a completed article of incorporation, cover letter and a current NUANS name search showing the name searched, NUANS booking reference number and NUANS date, along with the appropriate application fee.
If you come in person or mail documents through the official registration department, the registration fee is CAD 360. If you submit your application electronically, you will pay the statutory fee of CAD 300 plus the fees charged by your primary service provider.
