FAQs about company cancellation
We must receive all of the following documents before we can begin company deregistration services:
- Article of Incorporation
- The company’s corporate key (federal company)/Company Key (Ontario company)/Access code (Manitoba/BC company), etc.
- Internal company decision document: All legal persons still in office (or all shareholders) agree to cancel the company. The attachment is just a sample. If you need this sample, please contact us through the web assistant in the lower right corner.
What should I do if I can’t find the company registration documents? What should I do if I haven’t heard of various Keys?
You need to confirm whether the company's current registered address can receive government letters. If your company information has been changed but forgotten to be updated (registration address, legal person or business email address has changed) it will cause trouble in the deregistration process. In this case, we recommend that you contact us through the web assistant in the lower right corner.
How long does it take to close the company and get the cancellation certificate (Article Of Dissolution)?
Closing a company can be completed in as little as two hours, but only in:
- Complete company registration documents and change documents (complete administrative information) can be provided
- Complete tax records can be provided
The company has not filed taxes since its establishment, and indeed it has not done any business. Is it possible to not file taxes and only focus on the company?
No.
When you close the company, the Article of dissolution you receive can only prove that the company entity no longer exists, but it cannot eliminate the company's tax filing obligations.
